The subscriber of the following contract (Hereinafter "Author" / "Copyright Holder")
The parties have entered into the following distribution agreement concerning digital teaching materials (hereinafter "Works").
- The Author agrees that materials added to the Distributor's marketplace at the Author's request will not be for sale in other marketplaces during the term of this agreement.
- The Author/Copyright Holder is responsible for ensuring that the content of the Works does not infringe on the copyrights of third parties or other rights based on law or agreement.
If the Author has included materials created by third parties in the Work, such as quotations from literary works or image materials, the Author/Copyright Holder is responsible for obtaining any necessary permissions for the use of such materials and is obliged to notify the Distributor in writing of the use of these materials.
In addition, the Author is obliged to identify the materials of third parties used in the Work, as well as the sources from which the materials have been taken. The sources are to be provided in a bibliography included in the material. Furthermore, the Author shall notify the Distributor of any consents granted by third parties regarding the use of their materials.
The Author/Copyright Holder is responsible for any copyright or other claims and related necessary costs presented by third parties against the Distributor concerning the material transferred to the Distributor by the Author/Copyright Holder, to the extent that the claims arise from the Author's production.
- This agreement applies to digitally published Works.
- The Author/Copyright Holder is responsible for ensuring that the Works are ready for exclusive sale at the mutually agreed time.
Before the publication of the Works, the Author shall prepare a brief summary of the Work for marketing purposes and provide suitable images for marketing.
- The Distributor determines the selling price and sales channels. Pricing will take into account the Author's wishes. All rights to the Work's name, layout, and other design elements remain with the Author.
- The Distributor takes thirty (30) percent of the net sales revenue (VAT 0) of each sold copy of the Work.
The royalty for the sale of the Work and the rights to use the Work will be paid four times a year: in January, April, June, and October.
- The Author/Copyright Holder shall provide their contact and payment information to the Distributor upon signing this agreement. The Author/Copyright Holder is obliged to promptly notify the Distributor of any changes in their contact and payment information.
- The Distributor has the right to transfer this agreement as part of the transfer of its business or in another situation.
The Author/Copyright Holder does not have the right to transfer the agreement without the Distributor's permission.
- The agreement shall enter into force when the parties have signed it. The agreement may only be amended in writing by mutual agreement. The parties shall keep the content of this agreement confidential.
- This agreement shall be governed by Finnish law, and any disputes arising from the agreement that the parties are unable to resolve through negotiations shall be resolved in court. This agreement has been made in two identical copies, one for each party.
- The duration of the agreement is of 1 year.
